I was e-resident too but had to become resident in Estonia. Cause if you are abroad and distribute yourself dividend (as a sole entrepreneur) your host country would consider your Estonian company local and thus it constitutes a permanent establishment and that becomes extremely complicated

I second that. There are growing number of startups and increasing capital pouring into Estonia (hence the largest inflation rate in Europe) Wise and Bolt are good examples.

Yeah that would be yet more complicated. I think it depends on the tax treaties between these countries.

The thing is: even if your company is abroad, if you live in Germany then that constitutes "Permanent Establishment". So that means that Germany considers that the company is in its own juridiction so german laws would apply.

This also should be true about the holding (although I am not sure). You cannot simply have a German holding which contains foreign operating companies and not get involved with German bureaucracy. Logically you should report operations of those foreign companies (thus declaring taxes) in Germany. That would be an even more painful headache ...

great post! having been through it I can confirm that it is a really bad idea to start your startup business in Germany with a GmbH. You end up doing more paperwork than your own business.

However I have one question in your proposed schema. Germany Holding UG ... it owns the Delaware C-Corp right ? how would you deal with the paperwork and taxes of that Holding UG ? isn't it also time consuming and painful ?

I searched for todo management for years and I tested tons of apps. But as a developer this is the solution I use that works well for me:

Use YAML as a todo list, you can organise your things like:

Perso:

  - Take an appointment at ...

  - ...
Client1:

  - Do something

  - ...
Then put it in todo.yml in your Google Drive (for backup):

/Users/mishaker/Google Drive/My Drive/todo.yml

Then add an alias on your cli:

alias todo="subl /Volumes/GoogleDrive/My\ Drive/todo.yml"

Voilà, that's a simple solution which works for me.

This is a typical case I am struggling with during my whole career in software. It is very hard to fight against because it is counter-intuitive. Saying that "let's put aside all those designs and let's do a minimalistic version to satisfy current needs and then we move from there" is always less attractive than "let's do a great architecture which can support our 'exponential growth'".

In my experience following categories of people tend to fall into the trap easily (and it is really hard to convince them):

- Corporate people.

- Business school people.

The following can amplify it:

- Fund raising... you were successful in raising money so that means there is a market and people love your product ... well guess what? you are wrong.

If you are in such a situation, debating is not useful. Changing this mindset is only possible when you hit the wall at least once in your life. BUT ... you can accelerate the process of realizing it (before it is too late). Try to find a way to make people realize that all those bells and whistles and designs were not necessary cause nobody actually asked for and we are changing it anyway now.

I share my time between Montreal and Berlin for past five years. in short: if you are searching money then the answer is definitely Toronto. It is expanding more and more, tech scene is booming and getting your permanent residency or even Canadian passport is not that hard if you are determined.

Berlin is a life changing city, once you are there you may see life differently. You may end up getting a small programming job then being a DJ in evenings. You cannot go to Berlin with a plan, Berlin will re-planify you. While the tech scene is going up (specially during recent years because of blockchain startups) access to money and VCs are far limited. On top of that although English is ok in Berlin but if don't speak German, competing with local people is hard.
